These Terms & Conditions ("Terms") govern your access to and use of 99movement.com and related services (collectively, the "Service") operated by 99 Movement LLC, a Colorado limited liability company ("99 Movement," "we," "us," or "our"). By accessing the Site, creating an account, becoming a Love Certified member, or using any feature of the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to create an account or purchase a membership. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into a binding agreement.

2. Membership

99 Movement offers a Love Certified membership at the prices and tiers listed on 99movement.com. By purchasing a membership:
- You authorize us to charge your payment method for the recurring subscription amount on a monthly basis until you cancel
- Memberships renew automatically unless cancelled before the renewal date
- You can cancel at any time through your account or by emailing hello@99movement.com; cancellation takes effect at the end of the current billing period
- Membership fees paid are non-refundable except where required by law
- We reserve the right to change pricing with 30 days' advance notice

3. SMS Messaging Program — A2P 10DLC Disclosures

When you opt in to receive SMS messages from 99 Movement, the following terms apply:
- Program name: 99 Movement Member Messaging
- Description: transactional account messages (payment confirmations, membership renewals), milestone notifications (e.g., class attendance milestones), and operational messages from your participating yoga studio about your membership
- Message frequency: message frequency varies based on your activity and studio engagement, typically a few messages per month
- Carrier disclosure: **Msg & data rates may apply.** Your mobile carrier may charge you for sending and receiving text messages based on your wireless plan. 99 Movement is not responsible for carrier fees.
- Supported carriers: all major U.S. carriers including AT&T, Verizon, T-Mobile, Sprint, U.S. Cellular, MetroPCS, Cricket, Boost, and Virgin Mobile. Carriers are not liable for delayed or undelivered messages.
- Help: for help, reply **HELP** to any message you receive from us, or email hello@99movement.com
- Opt-out: to stop receiving messages, reply **STOP**, **STOPALL**, **UNSUBSCRIBE**, **CANCEL**, **END**, or **QUIT** to any message. You will receive a one-time opt-out confirmation message and no further messages thereafter.
- Re-subscribe: if you opt out, you may re-subscribe by visiting your account at 99movement.com/signup and re-enabling SMS notifications.
- No marketing without separate consent: we do not send promotional or marketing SMS unless you separately opt in to a marketing-specific program.
- Privacy: your phone number is used only to deliver the messages described above. We do not share, sell, rent, or trade your phone number with third parties or affiliates for marketing purposes.

4. Acceptable Use

You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law
- Impersonate another person or misrepresent your affiliation with any person or entity
- Attempt to gain unauthorized access to any portion of the Service, other accounts, or related systems
- Reverse engineer, decompile, or disassemble any portion of the Service
- Use any automated means to access the Service or collect data from it (including scraping or crawling) without our prior written consent
- Upload, transmit, or distribute viruses, malware, or other harmful code
- Use the Service to harass, abuse, or harm another person
- Resell, redistribute, or commercially exploit the Service without our prior written consent

We reserve the right to suspend or terminate your account for violations of these Acceptable Use rules.

5. Intellectual Property

The Service, including all content, design, graphics, logos, text, images, and software, is owned by 99 Movement LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. You receive a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes in accordance with these Terms.

The "99 Movement" name and logo are trademarks of 99 Movement LLC. You may not use them without our prior written permission.

6. User-Submitted Content

If you submit content to the Service (testimonials, feedback, photos, comments), you grant 99 Movement LLC a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, distribute, and display that content in connection with the Service and our marketing of the Service. You represent that you have all necessary rights to the content you submit.

You may request removal of your content at any time by emailing hello@99movement.com.

7. Participating Studios

If you become a member through or are added as a member by a participating yoga studio, your relationship with that studio is governed by the studio's own terms. 99 Movement is not responsible for the conduct of participating studios or for the experience you receive at any studio's classes or events. We facilitate the membership and payment infrastructure but do not control studio operations.

8. Third-Party Services

The Service integrates with third-party services including but not limited to Stripe (payments), Twilio (SMS), Resend (email), and various analytics providers. Your use of those third-party services is subject to their own terms and privacy policies. 99 Movement is not responsible for the actions or policies of third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 99 MOVEMENT LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO 99 MOVEMENT IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless 99 Movement LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third party's rights.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including for violations of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Colorado, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Denver County, Colorado, and you consent to personal jurisdiction in those courts.

14. Changes to These Terms

We may modify these Terms at any time. The "Last updated" date at the top reflects the most recent change. For material changes, we will provide reasonable notice (typically by email or by posting a prominent notice on the Site at least 14 days before the change takes effect). Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.
